1) Acceptance of Terms
By creating an account or using TradeCanvas (the “Service”), you agree to these Terms & Conditions and our Privacy Policy. If you do not agree, do not use the Service.
2) Eligibility & Account
- You must be at least 18 years old and legally able to form a binding contract.
- You are responsible for your account, credentials, and activity. Notify us of any unauthorized use.
- We may require email verification and may refuse or cancel accounts at our discretion.
3) Subscriptions & Billing
- Paid plans renew automatically unless cancelled before the renewal date.
- Fees are non-refundable except where required by law. Trials may be modified or withdrawn at any time.
- Taxes and processor fees may apply. You authorize us to charge the payment method on file.
4) License & Acceptable Use
We grant you a limited, non-exclusive, non-transferable license to access the Service for your own trading and research. You will not: (a) reverse engineer, scrape, or resell the Service; (b) interfere with security or rate limits; (c) use the Service for unlawful purposes; (d) misuse any APIs or connectors; (e) circumvent plan limits.
5) Trading & Strategy Risks
- The Service provides no-code tools to design and automate strategies. It is not financial, investment, or brokerage advice. You are solely responsible for outcomes.
- Markets involve substantial risk, including the loss of principal. Past performance (including any backtests) does not guarantee future results.
- You control risk settings (e.g., % equity, max daily loss/drawdown, partials, trailing). You must review and test configurations before enabling live trading.
6) Broker Connections
Execution occurs at your connected broker (e.g., TradeLocker, MT4/MT5). TradeCanvas is not a broker and does not hold client funds. Connectivity, data quality, slippage, latency, and fills are subject to your broker and network conditions. You authorize the Service to transmit orders and management instructions according to your configured strategy. You may revoke broker access at any time.
7) Backtesting & Performance
Backtests and analytics are hypothetical and may differ from live results. Data, filters, and assumptions can materially affect outcomes. Use caution when interpreting results.
8) Suspension / Termination
We may suspend or terminate access for breach of these Terms, security concerns, fraud, non-payment, or unlawful activity. Upon termination, your license ends and automated trading stops.
9) Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR RISK-FREE OPERATION.
10) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADECANVAS AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS, LOST DATA, OR TRADING LOSSES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 3 MONTHS PRECEDING THE CLAIM.
11) Indemnification
You agree to indemnify and hold harmless TradeCanvas from claims arising out of your use of the Service, your strategies, or your violation of these Terms or applicable law.
12) Changes to the Service / Terms
We may update the Service and these Terms. Material changes will be posted to this page with a new “Last updated” date. Continued use constitutes acceptance.
13) Governing Law & Disputes
These Terms are governed by the laws of our place of incorporation, without regard to conflict-of-law principles. Disputes will be resolved in the courts of that jurisdiction unless otherwise required by applicable consumer protection laws.
